Terms of Service

1. Who we are
NexusAXI is operated by Irena Kalėda, an individual based in Kaunas, Lithuania ("we," "us," "NexusAXI"). These Terms govern your use of the NexusAXI platform, including chat, NEXIDE, Nex Bots, image generation, and any wallet or subscription features (the "Service").
2. Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You are responsible for keeping your login credentials secure and for all activity under your account.
3. The wallet
NexusAXI offers a prepaid wallet: you deposit funds, and usage (AI model calls, image generation, bot compute) draws down your balance at published per-unit rates. Any card-processing fee shown and charged at the time of deposit is non-refundable, as it is paid to our payment processor and is not retained by us. The wallet-credit portion of a deposit is refundable as described in Section 10 (Termination). We do not pay interest on wallet balances. Unused wallet balance does not expire on its own. If your account is suspended or terminated for violating these Terms, engaging in fraud, or posing a security risk, the remaining wallet balance is forfeited. If your account becomes dormant (no login or usage for 24 consecutive months) and we are unable to reach you at your account email after reasonable attempts, we may close the account and treat any remaining balance as forfeited, subject to any applicable unclaimed-property or consumer-protection law requiring a different outcome.
4. Subscriptions
Plus and Ultra subscription tiers renew automatically at the interval and price shown at signup. You can cancel anytime; cancellation takes effect at the end of the current billing period, no partial refunds for unused time except where required by law.
5. Payments
Payments are processed by Stripe. By making a payment you agree to Stripe's terms as well as ours. We do not store your full card number. Chargebacks or disputed payments may result in account suspension pending resolution.
6. Acceptable use
You may not use NexusAXI to: violate any law; generate content that is illegal, that infringes others' rights, or that is used to harass, defraud, or harm others; attempt to bypass usage limits, security controls, or the platform's action-tier safeguards; or resell access without a separate agreement with us.
7. AI-generated content
Outputs (text, code, images) are generated by AI models and may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing and verifying outputs before relying on them, especially for code, financial, legal, medical, or safety-critical use.
8. Bring-your-own-key (BYO)
If you supply your own API key for a third-party model provider, that provider's terms and pricing apply to that usage. We encrypt stored keys and do not use them for anything beyond fulfilling your requests through the Service.
9. Data and memory
NexusAXI may retain conversation history and derived memory to improve your experience across sessions. Memory is isolated per account and is not shared across accounts. See our Privacy Policy for details.
10. Termination
We may suspend or terminate accounts that violate these Terms, engage in fraud, or pose a security risk; in that case, any remaining wallet balance is forfeited as described in Section 3. You may close your account at any time in good standing. If you do, you may request a refund of your unused wallet-credit balance (not including any card-processing fee already paid at deposit, which is not returned to us and therefore cannot be refunded) by emailing support@nexusaxi.com within 30 days of closing your account. Refunds are issued to the original payment method where possible.
11. Limitation of liability
The Service is provided "as is." To the maximum extent permitted by law, NexusAXI is not liable for indirect, incidental, or consequential damages arising from use of the Service, including reliance on AI-generated outputs.
12. Governing law
These Terms are governed by the laws of Lithuania, as the jurisdiction where the Service is operated from, without regard to conflict-of-law principles. If you are a consumer resident in another EU/EEA country, mandatory consumer-protection provisions of your own country of residence may still apply and take precedence where EU law requires it.
13. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance.
